Real Estate Service means getting, developing, preserving, managing, holding, protecting, legally enforcing, protecting and undertaking such various services and functions as may be required in connection with each Franchise Transaction, in each instance in accordance with the terms of the Agreement (such as, without limitation, the term "Fee." The term "Fee" does not necessarily imply a fee payable in advance or an amount paid directly by the Franchisee or his franchisor; the term "Fee" includes a minimum amount which is a percent of the franchise sales in each instance.
Additionally, Franchisee acknowledges and agrees that, in the event of a default by a Franchisor with regard to their obligation to pay a Franchisor a default fee, then such minimum fee shall be a direct charge against the income of the Franchisee and may constitute a cause of action for breach of contract. Further, if such breach occurs, the Franchisor may in addition sue the Franchisee for actual damages, costs and expenses, including, but not limited to, attorney's fees. Further, any right to recover damages or claims may exist only to the extent that such damages or claims are caused by the defaults of the Franchisor with respect to its obligation to pay a Franchisee a fee.
